Roots Corp. has cleared one of the last hurdles on its way to going private through a transaction led by a New York brand management firm.
The retailer says an Ontario Superior Court judge approved the deal today.
The transaction is subject to unspecified closing conditions and is expected to close this month, but already got shareholder approval and Roots says it won’t be contested by the interim commissioner of competition.
Through the deal with Marquee Brands announced in August, Roots shareholders will receive $4.10 per share.
Then, Club Monaco founder Joe Mimran’s company JM&A Design and Development Inc. will develop, manufacture and distribute Roots clothing for Canadian and U.S. stores.
Marquee Brands’ roster of labels also includes Martha Stewart, Laura Ashley and Roberto Cavalli. The company wants to bring Roots to other markets like Korea, India and Mexico.
This report by The Canadian Press was first published Oct. 15, 2026.
